Corporate governance reflects the interaction among all stockholders, which provides resources to the company and contribute to its performance such as shareholders, employees, creditors, long-term suppliers and subcontractors. This study had the following objectives: to assess the relationship between board composition and the performance of the insurance companies in Uganda, to establish the effect of board size on p:rformance or insurance company in Uganda, to examine the effect of CEO duality on performa,.~·.: ot" i11sunmc~.· -:ompany in Uganda. The study has used a descriptive research dc::>ign and corrdution research design with a quantitative approach. The population of interest was 185 composed of employees and Board members and a sample of 65 was purposively selected as sample. The data was collected via questionnaire, interview and documentations techniques. The study concludes that corporate governance has a significant impact on performance of CIC General Insurance (U) Ltd: It was found that the board size has an effect on performance of insurance company in Uganda. The study concluded that CEO duality may negatively affect the performance vr the company. From the practice perspective, the study re.;om.111:1tdtd that tit-? management or CIC General Insurance (U) Ltd should maintain good gov~rnanc~ to\ ards th1.. better performance of the firm. Academics and practitioners can use the findings of this ::;tudy to 1·ully understand how corporate governance of the firm may increase the performanct: or insuran~e company.
